Our client, a law firm headquartered in Century City (Los Angeles), is seeking an experienced Corporate Paralegal to join their growing team in New York City. The ideal candidate will have a minimum of five years of experience out of big law supporting attorneys in mergers & acquisitions, private equity growth investments and profits interests transactions, entity management, regulatory compliance matters and some experience with debt finance and dispute resolution litigation. This role requires exceptional organizational skills, attention to detail, and the ability to manage multiple priorities in a fast-paced legal environment.
Key Responsibilities
- Provide word processing to attorneys, including TOC, applied styles, redlines and general troubleshooting support.
- Assist attorneys in corporate governance matters, including all aspects of entity formation including governance documents, EIN, tax classification elections, conversions, mergers, qualifications, D&O slates and board resolutions.
- Conduct due diligence for mergers, acquisitions, and other corporate transactions, including UCC, lien and litigation searches and filing UCC statements.
- Draft and manage transactional documents, including drafting ancillary documents, compiling closing documents, preparing closing binders and preparing and filing tax notices (FIRPTAs, name changes, address change, etc) and preparing profits/equity interests related agreements.
- Coordinate and assist with SEC, CTA and other regulatory filings, including NASAA EFD and FinCEN filing systems.
- Maintain corporate records, minute books, and databases for compliance and reporting.
- Facilitate corporate service invoicing between vendor and internal billing department.
- Conduct legal research and prepare summaries for attorneys as needed.
- Collaborate with internal teams and external clients to support business and legal objectives.
- Ensure compliance with corporate policies, procedures, and applicable laws.
Qualifications
- Minimum of five (5) years of corporate paralegal experience in a law firm or in-house legal department.
- Bachelor’s degree and/or Paralegal Certificate required.
- Commissioned and active notary in good standing.
- Extensive knowledge of corporate governance, entity management, and transactional law.
- Experience with SEC filings, SEC research, general legal due diligence, and data and contract management.
- Proficiency in Microsoft Office Suite, DropBox, DocuSign and legal research databases.
- Strong written and verbal communication skills.
- Detail-oriented, proactive, and able to work independently and collaboratively and move quickly between ad hoc and set deadlines.
- Ability to manage multiple projects and meet deadlines in a fast-paced environment.
Preferred Qualifications
- Experience working with mergers & acquisitions and private equity or venture capital transactions, including familiarity with tax, debt finance and dispute resolution litigation.
- Familiarity with corporate compliance programs and risk management.
